Terms of Service

Ambiova — Ambient Soundscapes Last updated: [LAST UPDATED DATE]

These Terms of Service ("Terms") govern your use of the Ambiova website and web app (the "Service") and any Ambiova Pro or Commercial license you purchase. Please read them carefully. By using the Service, or by purchasing a license, you agree to these Terms.

1. Who we are

The Service is provided by:

[COMPANY LEGAL NAME] [LEGAL FORM / REGISTRATION NO.] [REGISTERED ADDRESS] Email: [CONTACT EMAIL] Website: [WEBSITE URL]

("Ambiova", "we", "us", "our"). "You" means the person using the Service or, if you use it for an organisation, that organisation.

2. The Service

Ambiova is a browser-based app that generates ambient soundscapes: layered drones, pads, isochronic tones, noises, textures, and melodies, which you can mix and save as personal presets. It runs mainly on your device. We do not offer user accounts.

We may improve, change, or remove features over time. We will try to avoid removing paid features you rely on without good reason, and if we make a material reduction to a paid plan, we will tell you and you may cancel as described in section 8.

3. Free tier

Ambiova can be used for free with a daily listening allowance and a selected set of instruments, presets and features. Features marked with a lock icon in the app require a paid plan.

We encourage you to evaluate Ambiova thoroughly through the free daily tier before upgrading, to make sure it works well on your devices and suits your needs. The free tier is provided as-is, and we may change its limits or features in the future.

4. Paid plans

Plan For Summary
Pro Personal, non-commercial use The full player with all paid features, for your own personal listening.
Commercial Use in a business setting The same player as Pro, plus the right to play Ambiova for the public at one location (see section 6.3).

Pro and Commercial are available as monthly or yearly subscriptions. Current prices, billing periods and applicable taxes are shown at checkout before you pay. Paid features may include, for example, unlimited listening time, additional instruments and tones, expert settings, offline use, and preset backup. The features included in a plan are those shown in the app and at checkout when you buy.

5. Purchases, billing and Creem

5.1 Creem is the seller. Our payments are handled by Creem (Armitage Labs OÜ, Estonia), which acts as the merchant of record. This means that Creem sells the license to you, charges your payment method, calculates and collects the applicable taxes, and issues your invoice. Your purchase is also governed by Creem's Buyer Terms. If those terms conflict with these Terms about the checkout, payment, tax, or Creem's customer portal, Creem's Buyer Terms prevail on those matters. Creem's handling of your personal data is described in Creem's Privacy Notice.

5.2 Delivery. After payment, Creem emails you a license key. You activate it in the app under Settings. Keep your key confidential.

5.3 Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) at the price then shown to you, until you cancel. You authorise Creem to charge your payment method for each renewal.

5.4 Taxes. The checkout shows any VAT, sales tax or similar taxes that apply, based on your billing details.

5.5 Price changes. If we change the price of a subscription, the new price applies from your next renewal after we notify you (for example by email through Creem or in the app). If you do not agree, you can cancel before that renewal.

5.6 Failed payments. If a renewal payment fails, Creem may retry it. Access may continue until the end of the period already paid for, after which paid features stop working until payment succeeds.

5.7 Managing your subscription. You can update your payment method, download invoices and manage your subscription through the billing portal provided by Creem, linked in your purchase confirmation emails.

6. License

6.1 Grant. Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the paid features of the Service for as long as your subscription is active.

6.2 Pro license. Pro is for personal, non-commercial use by one individual. You may activate your key on up to five (5) devices that you personally use.

6.3 Commercial license. Commercial includes the right to play Ambiova's output for the public or customers at one (1) physical location operated by the license holder (for example, a spa, clinic, studio, salon, or waiting room). It may be activated on up to five (5) devices used at that location. Additional locations need their own Commercial license. Commercial does not allow you to record, redistribute, resell, or stream Ambiova's output as a standalone audio product, or to offer Ambiova to third parties as your own software or service.

6.4 Device limit and deactivation. Each key has a maximum number of activations. You can free up a slot at any time in the app with Settings → Deactivate this device.

6.5 Your soundscapes. You may use the audio you generate with Ambiova, within the limits of your plan. The Pro plan is limited to personal use, and Commercial adds the on-site public performance right above. Presets you create are yours. We do not claim ownership of them, and we never receive them unless you send them to us.

6.6 No sharing. You may not share, sell, publish or otherwise distribute your license key, or use one key for more people, devices or locations than your plan allows.

7. How license verification works

To make sure subscriptions are honoured fairly, the app checks your license when it starts and about once every 24 hours while you are online. The check uses our servers and Creem's license service. If your subscription has ended or been cancelled, the license stops working and the app returns to the free tier. Your custom presets stay on your device.

If you are offline, the app may continue to accept a previously verified license for a limited period (currently up to 14 days since the last successful check) before requiring a connection again. Offline caches are removed if you return to the free tier.

Details about the data involved are in our Privacy Policy.

8. Cancellation

You can cancel your subscription at any time through the billing portal provided by Creem. If you cancel, your paid access remains active until the end of the billing period you have already paid for, and your subscription will not renew. Cancelling does not delete your presets, which stay on your device.

9. Refunds

9.1 Free tier. You are encouraged to try Ambiova through the free daily tier before upgrading, so that you can decide whether a paid plan is right for you.

9.2 No refunds on billed fees. All fees paid for Ambiova Pro or Commercial licenses, including monthly and yearly subscription fees and renewals, are non-refundable, except where a refund is required by mandatory consumer protection law in your country.

9.3 Statutory rights are not affected. Nothing in these Terms limits any mandatory rights you may have under the law that applies to you, such as any legal right of withdrawal, or remedies for digital content or services that are defective or not as described. Creem's Buyer Terms describe how EU consumers' right of withdrawal applies to purchases made through Creem.

9.4 Discretionary refunds. We may, at our sole discretion and on a case-by-case basis, grant a refund or credit in situations such as accidental duplicate billing or a technical problem that prevented you from using the paid features and that we could not fix. A refund in one case does not create an entitlement in another.

9.5 How to ask. Email [CONTACT EMAIL] with your purchase email address and a short description of the issue. Refunds that we approve are processed by Creem to your original payment method. Please contact us or Creem first before starting a chargeback with your bank.

10. Acceptable use

You agree not to:

  • use the Service unlawfully, or to infringe anyone's rights
  • share, resell, or circumvent your license key, activation limits, free-tier limits, or any other access control
  • reverse engineer, decompile, scrape, or copy the Service, its code, or its audio samples, except as allowed by law
  • interfere with or place an unreasonable load on the Service or its infrastructure, or probe it for vulnerabilities without our permission
  • use the Service to build a competing product, or to extract audio assets in bulk
  • use the Service in a way that breaches Creem's terms or that involves fraud or chargeback abuse

11. Health and safe-listening notice

Ambiova is designed for relaxation, focus, and sleep ambience. It is not a medical device. It does not diagnose, treat, cure or prevent any condition, and nothing in the Service is medical advice. Terms such as "Solfeggio", "isochronic", "sleep", "meditation" and "focus" describe sound designs and intended moods only. We make no promise that any sound will produce a particular physical, mental or therapeutic effect.

Please:

  • keep the volume at a comfortable level, especially with headphones, and take breaks to protect your hearing
  • do not use Ambiova while driving, operating machinery, or in any situation where you need full awareness of your surroundings
  • talk to a doctor before use if you have epilepsy or a history of seizures, a hearing condition, tinnitus, or any medical condition that could be affected by repetitive or rhythmic sound
  • stop using Ambiova if you feel discomfort

If you use Ambiova in a commercial setting, you are responsible for using it appropriately with your clients and for complying with any professional or regulatory rules that apply to you, including not making health claims about the Service.

12. Intellectual property

The Service, including its software, design, sound engine, audio samples, text, logos, and the name "Ambiova", is owned by us or our licensors and is protected by intellectual property laws. Except for the license in section 6, we grant you no rights in them. Third-party open-source components remain under their own licenses.

If you send us feedback or ideas, you allow us to use them without restriction or compensation.

13. Privacy

Our Privacy Policy explains how we handle personal data. It forms part of these Terms.

14. Third-party services

The Service relies on third-party providers, including Creem (payments and licensing) and Cloudflare (hosting). Their services are governed by their own terms, and we are not responsible for them. If a provider is unavailable, parts of the Service may be temporarily unavailable too.

15. Suspension and termination

We may suspend or terminate your license and access, with notice where reasonably possible, if you materially breach these Terms, misuse license keys, commit fraud, or where required by law. If we terminate a paid license for reasons other than your breach, we will refund the unused portion of the current billing period.

You may stop using the Service at any time. When a subscription ends, your paid features stop, and sections that by their nature should survive (for example sections 9, 12, 16, 17 and 19) continue to apply.

16. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, or suitable for a particular purpose, or that it will work on every device, browser, operating system or speaker system. Audio features such as background playback and lock-screen controls depend on your browser and device, and are outside our control.

Nothing in these Terms excludes warranties or rights that cannot be excluded under the law that applies to you.

17. Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental or consequential damages, or for lost profits, revenue, data or business opportunities arising from your use of the Service
  • our total liability to you for any claim relating to the Service is limited to the amount you paid for your license in the twelve (12) months before the event giving rise to the claim (or, if you only use the free tier, to EUR 50)

Nothing in these Terms limits or excludes liability that cannot be limited by law, including liability for intent or gross negligence, injury to life, body or health, or liability under mandatory consumer protection or product liability law.

18. Commercial customers

If you buy a Commercial license, you agree to use it in compliance with applicable law, including any public-performance or music-licensing rules that apply to you. You will indemnify us against third-party claims arising from your breach of section 6.3 or from health or performance claims you make about the Service to your own customers, to the extent the law allows.

19. Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW], excluding its conflict-of-law rules. Courts in [COURT / JURISDICTION] have jurisdiction, unless mandatory law gives you the right to bring a claim in the courts of your country of residence. If you are a consumer, you also keep the protection of the mandatory consumer laws of your country of residence.

We would like to resolve any problems informally first. Please email [CONTACT EMAIL] before starting any formal proceedings.

Your purchase from Creem is also subject to the dispute provisions of Creem's Buyer Terms.

20. Changes to these Terms

We may update these Terms from time to time, for example when we change features or the law changes. The "Last updated" date shows the current version. For material changes that affect paid customers, we will give reasonable notice (for example by email via Creem or a notice in the app), and the changes apply from your next renewal or after the notice period, whichever is later. If you don't agree, you can cancel before they apply. Continued use after the changes take effect means you accept them.

21. General

If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your license without our written consent. We may assign these Terms to a successor to our business. These Terms, together with the Privacy Policy and Creem's Buyer Terms, are the entire agreement between you and us about the Service.
